1. Acceptance of Terms

By accessing and using the LandScout platform ("Platform"), operated by Trigen Energy LLC ("Company," "we," "us"), you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Platform.

2. Platform Description

LandScout is a proprietary land acquisition and lease management platform designed for renewable energy and oil & gas projects. The Platform provides tools for parcel prospecting, landowner contact management, document generation, project tracking, remote online notarization, and related services.

3. User Accounts

Access to the Platform is by invitation only. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify the Company of any unauthorized use of your account.

4. Permitted Use

You may use the Platform solely for legitimate business purposes related to land acquisition, lease management, and energy project development as authorized by the Company. You agree not to:

• Share, transfer, or sublicense your access credentials
• Use automated tools to scrape, extract, or harvest data from the Platform
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform for any unlawful purpose or in violation of any applicable regulations
• Upload malicious code, viruses, or harmful content

5. Intellectual Property

The Platform, including all software, features, designs, workflows, mapping tools, document templates, and proprietary algorithms, is the exclusive property of Trigen Energy LLC. No ownership or intellectual property rights are transferred to you through use of the Platform.

6. Data Ownership

Data entered into the Platform in connection with Company projects remains the property of the Company. Personal landowner data, parcel information, lease terms, project details, and all related records are Company assets. Upon termination of your access, you must return or destroy any copies of such data in your possession.

7. Third-Party Services

The Platform integrates with third-party services including but not limited to Regrid (parcel data), Google Drive (document storage), PandaDoc (notarization), and mapping providers. Your use of these services through the Platform is subject to their respective terms. The Company is not liable for the availability or performance of third-party services.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available." The Company makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of any data, including parcel boundaries, landowner records, or infrastructure locations. Users should independently verify all critical information before making business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to lost profits, data loss, or business interruption.

10. Termination

The Company may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in the State of Georgia.

12. Changes to Terms

The Company reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
